Light & Wonder Completes $1.5b Grover Gaming Asset Acquisition
Light & Wonder has finalized its acquisition of the charitable gaming assets of Grover Gaming in a deal valued at up to $1.5 billion. The company announced late Monday that the acquisition was completed alongside the closing of an $800 million term loan facility, which will be used to fund the transaction.

The total consideration for the acquisition includes an upfront cash payment of $850 million. In addition to the initial payment, the agreement includes a potential earn-out of up to $200 million over four years, contingent on revenue performance. The earn-out is structured to be paid in cash, depending on Grover Gaming's future financial results under Light & Wonder's ownership.

Grover Charitable Gaming, the division acquired by Light & Wonder, operates a network of more than 10,000 leased electronic pull-tab units. These are deployed in states such as Kentucky, and New Hampshire, North Dakota, Ohio and Virginia, functioning under a recurring revenue model. Since its founding in 2013, Grover has earned a reputation for operating a best-in-class charitable gaming platform in every jurisdiction where it is licensed.
