The total consideration for the acquisition includes an upfront cash payment of $850 million. In addition to the initial payment, the agreement includes a potential earn-out of up to $200 million over four years, contingent on revenue performance. The earn-out is structured to be paid in cash, depending on Grover Gaming’s future financial results under Light & Wonder’s ownership.
As part of the transaction, approximately 120 employees from Grover Gaming will be integrated into Light & Wonder’s operations. These individuals bring with them expertise in the charitable gaming industry, contributing to Light & Wonder’s ability to deliver localized and regulated gaming solutions in a growing market segment.
Grover Charitable Gaming, the division acquired by Light & Wonder, operates a network of more than 10,000 leased electronic pull-tab units. These are deployed in states such as Kentucky, and New Hampshire, North Dakota, Ohio and Virginia, functioning under a recurring revenue model. Since its founding in 2013, Grover has earned a reputation for operating a best-in-class charitable gaming platform in every jurisdiction where it is licensed.

The charitable gaming sector plays a distinct role within the wider gaming industry, offering operators the ability to conduct games like bingo, lottery products, and electronic pull-tabs for the benefit of local nonprofit and community organizations. These licenses enable operators to run games with proceeds directed toward charitable purposes, combining entertainment with social contribution.
Light & Wonder President and CEO Matt Wilson stated that the integration of Grover’s assets and talent is a strategic fit for the company’s long-term goals. He emphasized that Grover Gaming has positioned itself as a leader in the charitable gaming space and bringing these assets into Light & Wonder’s ecosystem supports the company’s expansion into complementary regulated markets. Wilson highlighted that the acquisition strengthens Light & Wonder’s position as a global, cross-platform games company and provides a new channel for distributing its content to a wider audience.
The acquisition is expected to accelerate Light & Wonder’s penetration into the charitable gaming space, leveraging Grover’s established infrastructure and market relationships. The company aims to use its expanded footprint to further enhance its offerings across platforms, including land-based, digital, and emerging gaming verticals. This aligns with its broader vision of providing innovative content and technology-driven gaming solutions across a range of regulated environments.
With the transaction now complete, Light & Wonder’s financial and operational integration efforts will focus on aligning Grover Gaming’s charitable operations with the company’s broader strategic objectives.
